These Commercial Terms apply when you access or use Noticeboard for any business, school, organisational, or commercial purpose. Commercial purposes include (but are not limited to):
- Sending notices
- Managing a school or organisation account
- Creating or managing Circles or Sub-Circles
- Advertising products or services
- Using paid features
- Operating Shop Noticeboard
- Managing users on behalf of an organisation
By using Noticeboard for commercial purposes, you agree to the following:
1. Authority to Act
If you use Noticeboard on behalf of a school, organisation, or third party, you confirm that:
- You have authority to act on their behalf.
- You have authority to bind them to these Terms.
- They will comply with all applicable Noticeboard Terms and Policies.
2. Content & Licensing
You retain ownership of your content. By posting, uploading, or submitting content (including notices, advertisements, logos, images, videos, or attachments), you grant Noticeboard a non-exclusive, worldwide license to:
- Host
- Display
- Distribute
- Promote
- Deliver
- Archive
such content for the purpose of operating and improving the platform. You confirm that:
- You own the content or have permission to use it.
- Your content does not infringe on any intellectual property rights.
- You have the right to grant the above license.
3. Legal Compliance
You agree that your use of Noticeboard complies with all applicable laws and regulations, including:
- POPIA (Protection of Personal Information Act)
- Consumer Protection laws
- Advertising standards
- Education regulations (where applicable)
You must not:
- Use Noticeboard for unlawful purposes.
- Collect or process data in violation of applicable laws.
4. Data & Sensitive Information
You may not:
- Collect or upload information about children under 13 without lawful authority.
- Upload sensitive health, biometric, or financial information unless explicitly required for an authorised transaction.
- Use Noticeboard to harvest personal data.
Noticeboard reserves the right to remove content that violates data protection standards.
5. Advertising & Shop Noticeboard
Noticeboard may charge a commission (currently 35% unless otherwise stated) on transactions conducted through Shop Noticeboard. You are responsible for ensuring your advertisements are truthful and lawful. Noticeboard does not guarantee sales, performance, or reach.
6. Limitation of Liability
To the maximum extent permitted by law:
- Noticeboard is not responsible for third-party actions, services, or content.
- We are not liable for indirect, incidental, or consequential damages.
Our total liability shall not exceed the greater of:
- R1,500; or
- The total amount paid to Noticeboard by you in the past 12 months.
7. Indemnification
If a third party brings a claim against Noticeboard relating to:
- Your content,
- Your services,
- Your advertisements,
- Your actions on the platform,
you agree to indemnify and hold Noticeboard harmless against any damages, costs, or legal fees arising from such claims.
8. Dispute Resolution
If a dispute arises:
- Parties agree to attempt resolution in good faith.
- If unresolved, disputes shall be governed by the laws of the Republic of South Africa.
- Any legal proceedings shall be conducted in South African courts.
9. Updates
Noticeboard may update these Commercial Terms from time to time. Continued use of the platform after updates constitutes acceptance of the revised Terms.
10. General
- Failure to enforce a provision does not constitute a waiver.
- If any provision is found unenforceable, the remainder remains valid.
- Noticeboard reserves all rights not expressly granted.
